Company Registration in Thailand

Steps on How to Register a Thai Limited Company

  • Step 1: Registering the Company Name
    • To register a Thai company, first reserve a company name with the Department of Business Development (DBD) online.  The name must end with “Limited” (as required by Section 1098 of the Civil and Commercial Code) and comply with DBD guidelines.  Approval usually takes 1-3 days.  The approved name will be used in incorporation documents.
  • Step 2: Filing the Memorandum of Association
    • After registering with the Department of Business Development (DBD), a company can then register its memorandum of association.  At this stage, all shares must be fully paid.  To conduct foreign business activities, prior cabinet approval is required.
    • The memorandum of association includes the company name, the names of the promoters, the company’s registered address, and its financial and business objectives.
  • Step 3: Registration of the Company in Thailand
    • Company registration must occur on the same day the Memorandum of Association is registered, provided the Statutory Meeting has already been held.  The registration application must be submitted within 90 days of the Statutory Meeting.
  • Step 4: Register for VAT (Value Added Tax) and Income Tax
    • After registration, VAT certificates must be filed.  Other required documents must also be filed with both the Department of Business Development (DBD) registrar and the Revenue Department’s Central Filing Office in Bangkok.
  • Step 5: Register for Social Security 
    • All employees in Thailand, Thai and foreign nationals, must register for Social Security. Employers deduct and submit contributions. Some workers are exempt; confirm eligibility. Self-employed individuals can register voluntarily.
